Ashley Liu supports founders, emerging companies, and health care organizations in corporate and health care matters, bringing measured clarity and judgment to a range of regulatory, transactional, equity compensation, compliance, and governance issues. With a strong foundation in economics, statistical analysis, and public policy, she helps companies evaluate risk, structure transactions, and make informed decisions in highly regulated environments.

Prior to joining Coppersmith Brockelman, Ashley gained experience across private practice, the judiciary, and health care policy through multidisciplinary work in corporate governance, business transactions, contractual issues, agency rulemaking, and cost performance analysis. She also served as law clerk to the Hon. Cynthia Bailey of the Arizona Court of Appeals, Division I. Merging versatility and precision, Ashley helps guide strategic research, analyses, and execution backed by a practical understanding of broader business and regulatory contexts.

Representative Matters

  • Assists health care clients in regulatory research involving state and federal statutes, rules, policies, and agency guidance.
  • Drafts and reviews purchase and sale agreements, operating agreements, and other deal documentation.
  • Drafts and reviews commercial contracts, including customer and vendor agreements.
  • Prepares and reviews executive and equity compensation agreements in connection with company equity plans.
  • Supports rulemaking and regulatory analysis for matters involving state agencies and federal health care programs.
  • Assists in corporate governance matters, entity formation, and organizational documents.
  • Conducts due diligence in mergers, acquisitions, and seed, venture, and growth financings, including review of corporate, contractual, and operational materials, and prepares related disclosure schedules.
  • Assists in preparing private placement memoranda for securities offerings.
  • Performed data analyses evaluating health care provider cost performance and contributed to rulemaking materials for the Centers for Medicare & Medicaid Services.
